Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Rosy AI, MB ("Company," "we," "us," or "our"), a legal entity registered in the Republic of Lithuania, governing your access to and use of the mdsync.app website and service (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Eligibility

By using our Service, you represent and warrant that:

  • You are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding contract.
  • If you are using the Service on behalf of an entity (e.g., your employer), you are authorized to bind that entity to these Terms.

3. Description of Service

mdsync.app is a SaaS platform that facilitates one-way synchronization of Markdown documentation from GitHub repositories to Notion workspaces. The Service automatically converts Markdown syntax to Notion blocks and maintains folder structures.

Closed Platform: The Service is currently a closed platform. We do not support third-party plugins, extensions, or external marketplace integrations at this time.

4. Accounts and Security

Account Creation: You must register using a valid Google account (via OAuth). You are responsible for maintaining the confidentiality of your login credentials.
Accuracy: You agree to provide accurate, current, and complete information during the registration process.
Responsibility: You are fully responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account at info@rosy.ai.lt.

5. Subscription, Billing, and Cancellation

5.1. Plans and Trials

  • Free Trial: We offer a 30-day free trial for the Starter plan. A valid payment method is required to activate the trial.
  • Automatic Conversion: Unless you cancel before the end of the 30-day trial period, your subscription will automatically convert to a paid subscription, and your payment method will be charged.
  • Billing Cycle: Subscription fees are billed in advance on a recurring basis (monthly or annually) depending on your selection.

5.2. Cancellation

  • Method: You may cancel your subscription at any time through your account dashboard.
  • Effect: Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends. We do not provide refunds for unused time in a partial billing period.

5.3. Refund Policy

  • 14-Day Guarantee: We offer a full refund for initial purchases if requested within 14 days of the first payment (excluding the free trial period).
  • No Pro-Rated Refunds: After the 14-day window, no refunds or credits will be issued for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.

6. Intellectual Property and Data Rights

6.1. Your Content

  • You retain 100% ownership of all data, files, text, images, and other content ("User Content") that you sync through the Service.
  • Limited License: By using the Service, you grant Rosy AI, MB a limited, non-exclusive, worldwide, royalty-free license to access, read, process, and transmit your User Content solely as necessary to provide the synchronization functionality (e.g., reading from GitHub and writing to Notion).
  • No AI Training: We do NOT use your User Content to train Artificial Intelligence (AI) or Machine Learning (ML) models, nor do we use it for marketing purposes.

6.2. Company Property

The Service, including its source code, database schemas, API, design, and "mdsync.app" branding, is owned by Rosy AI, MB and is protected by copyright and intellectual property laws.

7. Acceptable Use Policy

You agree not to use the Service to:

  • Sync content that is illegal, harmful, threatening, defamatory, infringing on intellectual property rights, or violates the privacy of others.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Abuse API Limits: You must not exceed the rate limits or concurrency limits (e.g., parallel operations) enforced by the Service. Excessive automated requests that degrade the Service for others may result in temporary or permanent suspension.

8. Disclaimers and Limitation of Liability

8.1. "As-Is" Service

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8.2. Data Integrity

Warning: The Service involves modifying, creating, and potentially overwriting pages in your Notion workspace. While we strive for accuracy, we are not liable for any data loss, corruption, or accidental deletion of content in your Notion workspace. You are solely responsible for maintaining backups of your data.

8.3. Limitation of Liability

To the maximum extent permitted by law, Rosy AI, MB shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

Liability Cap: In no event shall our aggregate liability exceed the amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

9. Termination

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, if you breach these Terms, specifically including violations of the Acceptable Use Policy.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Vilnius, Lithuania.
